258 The following by-laws shall constitute am amendment of the existing by-laws
259 as a whole and shall repeal and eliminate all existing by-laws of the
260 Association. These by-laws shall become effective immediately upon adoption

264 ARTICLE I - NAME

266 The name of this organization shall be the Seattle ? King County Veterinary

270 ARTICLE II - MEMBERSHIP

272 A. Qualifications for membership. Members shall:

274 1. Abide by all regulations of the Washington State
275 Veterinary Practice Act.

277 2. Be a veterinarian recognized by the American Veterinary

280 3. Have a license to practice in the State of Washington if
281 their field of employment requires licensing by state law.

283 B. Classification of membership. Members of the Association shall
284 include the following:

286 1. Active members.

288 a. New applicants for active membership shall submit a
289 completed application to the Chairman of the
290 Membership Committee and shall, at the same time,
291 submit the required membership dues, in U.S. funds,
292 payable to the order of the Seattle ? King County
293 Veterinary Medical Association.

295 b. Those fulfilling membership requirements shall
296 receive written notification of acceptance by the
297 Chairman of the Membership Committee.

299 c. Renewal of membership shall be accomplished by
300 payment of dues as outlined in Article V ? Dues.

302 d. An active member may vote, hold office, and
303 participate in the business of the Association, except
304 as provided in Article V ? Dues.

306 2. Complementary membership.

308 a. This membership status may be awarded new
309 graduates of AVMA recognized schools that have
310 passed the National Board Exam and Washington
311 licensing requirements, only during the remainder of
312 the year of their graduation, at the discretion of the
313 Board of Directors.

315 b. Other complementary memberships may be granted
316 for a limited time at the recommendation of the
317 Membership Committee, and upon approval of
318 the Board of Directors.

320 c. Persons in this membership category may attend any

326 3. Life membership.

328 a. Life membership may be extended as recognition of
329 meritorious service or accomplishment, to a member
330 of the Association, upon recommendation of the
331 Board of Directors and approval by the membership.

333 4. Associate membership.

335 a. To qualify as an Associate Member, an individual
336 must practice outside King County and be an active
337 member of his/her local veterinary medical association
338 or be 60 years of age and retired.

340 b. Persons in this membership category may attend any
341 regular or special meeting, but may not vote, serve on
342 committees, or hold office.

344 C. Removal from membership.

346 1. The following shall constitute sufficient reason for
347 removal from membership:

349 a. For non-attendance. The membership of any
350 member, who does not attend at least one (1) regular
351 meeting each calendar year, may be revoked upon
352 recommendation of the Membership Committee,
353 provided the Board of Directors approves such action
354 by a 2/3 vote of those present and voting. Such
355 member shall be notified of his/her removal from
356 membership by registered mail to his/her last known
357 address.

359 b. For non-payment of dues. A member more than
360 four (4) months in arrears shall be suspended from the
361 Association. Upon payment of dues for the current
362 Year, the suspended member may be reinstated as a
363 active member by the Board of Directors.

365 c. For conviction of any violation of the Washington
366 State Veterinary Practice Act, censure by the
367 Washington State Board of Veterinary Governors, or
368 conviction of a felony.

370 d. For unprofessional conduct. The membership of any
371 member who engages in unprofessional conduct may
372 be revoked upon recommendation of the
373 Membership Committee, provided the Board of
374 Directors approves such an action by a 2/3 vote of
375 those present and voting.

377 e. Voluntary withdrawal. A member may withdraw from
378 the Association.

380 2. No dues shall be refunded if membership is terminated.

383 ARTICLE III - OFFICERS

385 A. The elective (sic) officers of the Association shall be a President,
386 President-elect, Secretary, and Treasurer. The term of each
387 elective office shall be one year or until their successor is
388 elected.

390 B. Election shall be by nomination and a majority vote shall
391 elect. Elections shall be held each year, at the regular January
392 meeting of the General Membership.

394 C. Nominations. The Board of Directors as a whole, or its
395 designates, shall act as a nominating committee and shall
396 nominate one or more candidates for each office and obtain
397 their consent to accept the office if elected. Nominations by
398 the Board shall be announced in the newsletter prior to the
399 regular election meeting. Additional nominations may be
400 made from the floor at the regular meeting.

402 D. Vacancies in any office shall be filled by a member appointed
403 by the President and approved by the Board of Directors at its
404 next meeting following such vacancy. The officer appointed
405 shall serve the remainder of the term to which he/she is
406 appointed.

409 ARTICLE IV ? DUTIES OF OFFICERS

411 A. President. The President shall:

413 1. Preside at all general membership and Board of Directors

416 2. Appoint all Standing Committee Chairpersons.

418 3. Act as Registered Agent of the Corporation.

420 4. Conduct the affairs and operations of the Association.

422 5. Serve as a member of the Board of Directors.

431 B. President-elect. The President-elect shall:

435 2. Perform the duties of the President in the latter?s absence.

443 C. Secretary. The Secretary shall:

445 1. Keep permanent records of the general membership and

449 place, date and time of all meetings

451 3. Conduct official correspondence of the Association
452 and officers.

454 4. Perform such other duties as directed by the President

460 D. Treasurer. The Treasurer shall:

462 1. Collect all monies due the Association, either directly or
463 through the various committee chairpersons responsible
464 for collection of fees.

466 2. Pay all valid bills incurred against the Association.

468 3. Submit a financial report at each Board of Directors
469 meeting.

471 4. At the close of each year present a detailed statement of
472 receipts and disbursements for review by the Board of
473 Directors.

475 5. Submit reports and documentation to an accountant on
476 an annual basis for audit and tax preparation.

478 6. File the Annual Report to the Secretary of State by
479 December 1 of each year or as required by law.

481 7. Serve as a member of the Board of Directors.

486 ARTICLE V - DUES

488 A. Dues of active members shall be set by the Board of
489 Directors with the approval of the membership and shall be
490 payable on or before the first regular meeting in January.
491 Dues statements shall be mailed to the membership no later
492 than December 1 for the upcoming year.

494 B. Members who are three (3) months or more in arrears in the
495 payment of dues may not vote, serve on committees, hold
496 office, receive the newsletter, participate in the business of
497 the Association, or enjoy any of the other benefits of
498 Association membership.

501 ARTICLE VI ? GENERAL MEMBERSHIP MEETINGS

503 A. There shall be no fewer than two (2) general membership
504 meetings each year.

506 B. There shall be a general meeting in January of each year for
507 election of officers and approval of the budget.

509 C. The time and place of these meetings shall be arranged by the
510 Board of Directors except that the January meeting shall be
511 held within the geographical limits of King County.

513 D. Special meetings may be called by the President or by three
514 (3) or more members of the Board. Notice in writing must
515 be mailed to each member not less than ten (10) days in
516 advance of such a meeting stating the time, place and
517 purpose of the special meeting.

519 E. A quorum shall consist of those members present. The vote
520 of a majority of the votes entitled to be cast by the members
521 present shall be necessary for the adoption of any matter
522 voted upon by the members.

525 ARTICLE VII ? BOARD OF DIRECTORS

527 A. The Board of Directors shall consist of the President,
528 President-elect, Secretary, Treasurer, Delegate to the
529 Washington State Veterinary Medical Association, the
530 chairperson of each of the standing committees, and one
531 representative from each of the constituent Chapters.

533 B. The Board of Directors shall:

535 1. Supervise and care for the property of the Association.

537 2. Represent the Association in all legal matters in which
538 the Association, as property owner, may be required to
539 act. Two Board Members shall sign all necessary
540 documents involved in transactions.

542 3. Prepare a budget for the Association to be submitted to
543 the membership for their approval at the beginning of
544 each year.

546 4. Review the Treasurer?s annual financial report. Submit
547 a financial report to the membership at the close of each
548 year.

550 5. Make specific expenditures. Review and regulate the
551 activities and expenditures of all committees.

553 6. Nominate a slate of officers as directed in Article III.

555 7. Elect the Representative to the Board of Directors of the
556 Washington State Veterinary Medical Association.

558 8. Have the power of approval of each of the President?s
559 Standing Committee Chairperson appointments.

562 C. Meetings

564 1. The Board of Directors shall meet monthly except July
565 and August, the times an (sic) places to be determined by the
566 President.
567 2. Special meetings may be called at any other time as
568 requested by the President or the Chairman (sic) of the
569 Directors or by three (3) or more members of the Board
570 of Directors. Notice in writing must be sent to each
571 member at least ten (10) days prior to a special meeting,
572 stating the time, place and purpose of such a meeting.
573 3. No meeting may be held outside of King County without
574 the approval of a majority of the Board.
575 4. At the discretion of the President, a regular monthly
576 meeting may be dispensed with, but the Board must
577 meet the following month.
578 5. A quorum is one third of the number of directors. The
579 act of a majority of the directors present at a meeting
580 at which a quorum is present shall be the act of the board
582 of directors.
582 6. Any member of the Association may attend, and upon
583 invitation of the chair, discuss, debate or present a matter
584 before the Board. However, only members of the Board
585 of Directors may vote at Board Meetings.

694 conduct, both personal and professional regarding
695 members of the Association in relation to each
696 other, their clientele, public or private bodies, or the

700 held in confidence and shall be viewed as private
701 communications. If questions arise concerning
702 possible violations of the Veterinary Practice Act,
703 the complainant shall be referred to the Veterinary
704 Board of Governors.

781 chapters representing geographical areas
782 within the greater Seattle area and King

790 within a particular field or discipline of the
791 veterinary profession may also be

836 The rules contained in the current edition of Robert?s Rules of Order
837 Newly Revised shall govern the Association in all cases to which they
838 are applicable and in which are (sic) not inconsistent with these laws and
839 any special rules of order the Association may adopt.

842 ARTICLE XIII - AMENDMENTS

844 These By-laws may be amended at any regular or special meeting of
845 the Association by a two-thirds (2/3) vote of the members present and
846 voting at such a meeting; provided that all members shall have been
847 notified in writing of the proposed amendment not less than ten (10)
848 days prior to such meeting.
